Propertyzone serves as a secure technical intermediary; we do not participate in, nor guarantee the outcome of, unregulated private dealings.

- "Listing" means an authorized digital advertisement for a property asset, published by an Agent who possesses a valid written mandate from the legal owner.
- "User" means any individual or legal entity accessing the Platform, including Property Seekers, registered Practitioners, and Property Owners.
- "User Content" means any data, feedback, or transactional information submitted or uploaded to Propertyzone by a User.
- "Services" means the technical infrastructure, search algorithms, lead progression tools, and professional analytics provided through Propertyzone.
- "Transaction"means the independent legal transfer of property rights—including sale, purchase, or lease—conducted between Users outside of the Platform's technical scope.
- "Account" means the secure professional or personal profile created to access restricted Platform functionality and communication tools.

For professional practitioners, eligibility is strictly contingent upon holding a valid registration with the Estate Agents Council (EAC) of Zimbabwe. We do not facilitate "briefcase agents" or unregistered brokers. Failure to provide verifiable statutory credentials during the onboarding process will result in immediate rejection of the registration request.
2.2 Accountability and Data Integrity
Account creation requires the submission of truthful, current, and verifiable data. Propertyzone is a high-trust environment; any attempt to utilize aliases, provide fraudulent business addresses, or misrepresent professional standing constitutes a material breach. You are solely responsible for maintaining the security of your access credentials.
Account sharing is strictly prohibited. Every action performed under your credentials—including listing publications and lead responses—is legally attributed to you or your registered agency. You must notify Sparkline Labs immediately upon any suspicion of unauthorized access or technical compromise.
2.3 Professional Vetting and EAC Mandates
The verification of Agent credentials is a mandatory prerequisite for platform participation. By registering as a Practitioner, you grant Sparkline Labs the irrevocable authority to cross-reference your registration status and disciplinary history with the EAC.
Maintenance of an active Practicing Certificate is a continuous obligation. If your EAC registration expires, is revoked, or is subject to a suspension order, your Propertyzone account and all associated listings will be decertified and removed from the public marketplace within 24 hours. Professionals are required to update their statutory profile within 48 hours of any change in their regulatory standing.

You may terminate your relationship with Propertyzone at any time via the secure account settings, provided all outstanding fees and transactional obligations are settled. Sparkline Labs reserves the unilateral right to suspend or terminate access without notice in cases of suspected fraud, statutory non-compliance, or any conduct that compromises the integrity of the Zimbabwean real estate marketplace.

- Secure communication protocols for professional inquiries.
- Utility Sovereignty data mapping (Borehole, Solar, and ZESA reliability).
- Professional directory of EAC-accredited agencies and practitioners.
- Market analytics and historical transactional intelligence.
3.2 Intermediary Limitation and Statutory Scope
Propertyzone functions exclusively as a technical intermediary. To ensure statutory compliance and risk mitigation:
- No Fiduciary Role: Propertyzone does not act as a real estate agent, broker, legal representative, or property owner.
- No Transactional Participation: We do not hold client funds, facilitate property payments, or participate in the negotiation of sale/lease agreements.
- No Independent Verification: We do not independently verify the physical state of property assets, the existence of title deeds, or the validity of specific mandates. This duty is legally vested in the listing Agent.
- No Performance Guarantees: We do not guarantee the quality, structural integrity, or legal fitness of any asset listed by a registered Practitioner.
All legal and financial transactions occur strictly between the User and the EAC-registered Agency. Propertyzone is not a party to, nor liable for, any outcome of these private contracts.
3.3 Prohibited Conduct and Professional Standards
Users are strictly bound to utilize the Platform for lawful, verified real estate activities. The following actions constitute a material breach:
- Briefcase Agency: Attempting to market property without a valid, written mandate from the legal owner.
- Deceptive Marketing: Posting fraudulent data, bait-and-switch listings, or misleading utility claims.
- Data Mining: Unauthorized scraping, harvesting, or automated collection of professional or seeker data.
- Security Compromise: Attempting to bypass lead-routing systems or interfere with the platform's search algorithms.
- Unregulated Broking: Impersonating a licensed practitioner or misrepresenting EAC registration status.
- Commercial Sabotage: Using automated bots to manipulate listing rankings or disrupt competitor visibility.
3.4 Infrastructure Uptime and Service Modifications
While Propertyzone targets 99% platform availability, we do not guarantee uninterrupted access. The Platform is subject to periodic maintenance and regional infrastructure variations (including ISP and power disruptions). Sparkline Labs reserves the right to modify, suspend, or pivot any service feature to optimize security or respond to regulatory shifts in the Zimbabwean market.

- Utilize high-fidelity, authentic photography of the actual asset; the use of stock imagery or digitally altered structural features is prohibited.
- Utility Disclosure: Explicitly state the status of borehole water (including yield where known), solar backup capacity, and ZESA reliability to satisfy Propertyzone's Utility Sovereignty standards.
- Disclose all material defects, structural liabilities, or encumbrances that could affect the value or safety of the property.
- Comply with the Estate Agents Act advertising regulations, ensuring no discriminatory preferences are expressed.
4.2 Warranties of the Listing Practitioner
By publishing a Listing, the Agent provides a legal warranty to both the User and Sparkline Labs that they:
- Possess a valid, written mandate from the legal title holder or authorized executor to market the property.
- Have performed preliminary due diligence on the property's legal status, including title deed or developer cession verification.
- Hold the necessary intellectual property rights or licenses for all media and descriptions uploaded.
- Are legally obligated to receive any client funds into a mandated, audited Trust Account as per statutory requirements.
- Will maintain real-time inventory accuracy, removing listings within 24 hours of a successful sale, lease, or mandate expiry.
4.3 Platform Vetting and Moderation
Propertyzone reserves the unilateral right to audit, modify, or terminate any Listing that fails to meet professional standards. Our moderation protocol includes:
- Removal of Content based on verified User complaints or evidence of professional malpractice.
- Decertification of Listings from Agencies whose EAC standing has lapsed or been revoked.
- The application of digital watermarks to protect the intellectual property of our registered partners.
Legal Disclaimer: Propertyzone does not independently verify the physical condition or legal title of individual properties. We vet the Agency's registration status; the statutory burden of verifying property data and title authenticity rests exclusively with the EAC-registered Practitioner.
4.4 Prohibited Listing Categories
The following categories are strictly prohibited and subject to immediate deletion:
- Assets subject to active litigation or unresolved probate disputes.
- Properties with fraudulent or unverified title claims.
- "Ghost Listings" designed solely for lead generation without an underlying available asset.
- Unauthorized developments or structures lacking municipal building approval.
- Listings where the Agent cannot produce a valid, written mandate upon request.
- Duplicate listings of the same asset by the same firm designed to manipulate search rankings.

- Distribute and syndicate listing data to verified partner networks and search engines to maximize liquidity.
- Incorporate data into Propertyzone's proprietary market reports, social distribution channels, and advertising campaigns.
- Generate derivative data sets and archival indices for historical market analysis.
Note: This license survives account termination to ensure the integrity of our historical transaction database and to comply with statutory audit requirements in Zimbabwe.
5.2 Warranty of Origin and Legal Liability
While the User retains primary ownership of uploaded Content, the act of publication constitutes a formal warranty that:
- You possess the absolute legal title or explicit written mandate for all materials posted.
- The Content does not infringe upon the copyrights, trademarks, or proprietary trade secrets of any third party.
- You have secured all necessary statutory permissions for the digital representation of the asset.
- You assume total and exclusive liability for the accuracy of the information and any legal consequences arising from misrepresentation.
5.3 Sparkline Labs Proprietary Assets
The Platform architecture and its component parts are the exclusive property of Sparkline Labs. Unauthorized replication or reverse-engineering of the following is strictly prohibited:
- Propertyzone branding, iconography, and "Verified Agency" trust markers.
- Proprietary search algorithms and the Utility Sovereignty data engine.
- The source code, database structures, and UI/UX configurations.
- Aggregated market intelligence and comparative price indices.
Digital scraping or the harvesting of Propertyzone data for competing commercial purposes is a material violation and will be prosecuted.
5.4 Infringement Vetting and Takedown Protocol
If you believe any Content on Propertyzone infringes upon your statutory rights, you must submit a formal notice to legal@propertyzone.co.zw. To be processed, the claim must include: (1) Proof of ownership, (2) The specific URL of the infringing data, (3) A declaration of inaccuracy or unauthorized use, and (4) Your full contact credentials. Propertyzone operates on a "Notice and Takedown" basis for verified claims.

Propertyzone does not charge Buyers, Home Seekers, or Home Sellers directly for utilizing the Platform's search and discovery features.
6.2 Agency Fee Structure
Registered Practitioners are billed based on their selected volume tier. Fees are applied to:
- Active listing volume allocations.
- Asset amplification and technical verification services.
- Subscription tiers for Agency-wide CRM and lead progression tools.
- Professional directory placements.
Detailed rate cards are available within the Agency Dashboard. Fees are subject to periodic adjustments to reflect Zimbabwean economic shifts, with 30 days' notice provided for structural changes.
6.3 Settlement Modalities
All Agency fees are payable in full before listing capacity is activated. Supported settlement methods include:
- Mobile Money: EcoCash, OneMoney, and InnBucks (at prevailing market rates).
- Direct Transfer: Bank-to-bank settlement for corporate accounts.
- Digital Settlement: Credit/Debit cards via integrated secure gateways.
6.4 Refund Protocols and Statutory Tax
All Platform fees are strictly non-refundable. Exceptional refund requests arising from documented technical failures must be submitted within 7 days and are evaluated at the absolute discretion of Sparkline Labs. All commercial amounts are subject to VAT as required by the Zimbabwe Revenue Authority (ZIMRA); Propertyzone will collect and remit such taxes in accordance with the law.

Propertyzone does not handle, process, or hold funds related to actual property transactions.
All rental deposits, purchase prices, and legal fees are arranged and settled directly between the User and the EAC-registered Agency's audited Trust Account. Sparkline Labs assumes no liability for commission disputes, failed deposits, or financial loss arising from unregulated private dealings between Users.

Propertyzone is provided strictly on an "as is" and "as available" basis. Sparkline Labs makes no warranties, express or implied, regarding the marketability, technical uptime, or fitness for a specific commercial outcome. We do not warrant that the Platform will be uninterrupted, secure, or free from localized technical failures inherent in the Zimbabwean digital infrastructure.
Sparkline Labs provides the technical conduit but makes no representations regarding:
- The factual accuracy or title status of any Listing published by an Agent.
- The physical condition, structural integrity, or legal zoning of properties.
- The validity of utility claims (including water yield or solar capacity).
- The professional conduct or fiduciary reliability of EAC-registered Practitioners.
- The security of data transmitted over public or third-party networks.
7.2 Third-Party Integrations
The Platform may integrate with or link to third-party services, including payment gateways (EcoCash, InnBucks) and external data sources. Sparkline Labs assumes no liability for the operational failures, data breaches, or commercial practices of these independent entities. Your interaction with any third party is governed exclusively by their respective terms.
7.3 Statutory Limitation of Liability

To the maximum extent permitted under the laws of Zimbabwe, Sparkline Labs shall not be held liable for any indirect, incidental, or consequential damages, including:
- Loss of commission, revenue, or property development profits.

- Loss of digital data, lead records, or listing history.
- Professional reputation damage arising from User or Agent feedback.
- Direct or indirect loss caused by "briefcase agents" or unregulated brokers.
Our total cumulative liability for any claim—contractual or otherwise—shall not exceed the total fees paid by you to Sparkline Labs in the six (6) months preceding the incident, or USD $500, whichever is less.
7.4 User-Centric Assumption of Risk
By accessing Propertyzone, you acknowledge the inherent risks within the Zimbabwean real estate market. This includes the potential for misrepresentation, undisclosed material defects, and fraudulent title claims.
YOU AGREE TO CONDUCT INDEPENDENT, RIGOROUS DUE DILIGENCE BEFORE RELEASING ANY FUNDS OR SIGNING ANY BINDING CONTRACTS.
Platform participation does not waive your professional duty as an Agent or your personal duty as a Buyer to verify legal titles and physical assets through the Deeds Office and local authorities.

- Statutory Breach: Your violation of these Terms, the Estate Agents Act [Chapter 27:05], or any data protection laws of Zimbabwe.
- Proprietary Infringement: Any violation of third-party copyrights, trademarks, or title rights through Content posted via your Account.
- Data Malpractice: Any misinformation, fraudulent representations, or bait-and-switch listings published under your credentials.
- Transactional Failure: Claims arising from disputes between Agents, Buyers, and Sellers, including commission conflicts or failed property transfers.
- Professional Negligence: Any harm or loss resulting from unprofessional conduct during property viewings or negotiations.
- Unauthorized Marketing: Legal actions resulting from marketing property assets without a valid, written owner mandate.
Survival of Obligation
This indemnification is a permanent legal covenant. It survives the deletion of your Account, the termination of this Agreement, and any cessation of Propertyzone's operations. You remain personally liable for conduct performed during your tenure on the Platform.

A User or Agent may terminate their account at any time through the secure Platform settings. However, termination is not an erasure of history or liability. Sparkline Labs will not process any data deletion requests that conflict with Zimbabwean statutory retention periods or active legal investigations.
9.2 Unilateral Termination by Sparkline Labs
We maintain a policy of zero tolerance for conduct that compromises the integrity of the Zimbabwean real estate market. Sparkline Labs reserves the absolute right to suspend or terminate any Account immediately, without prior notice or refund, for the following "Market Red Flags":
- Statutory Lapse: Failure to maintain a current and valid registration with the Estate Agents Council (EAC) of Zimbabwe.
- Verified Fraud: Discovery of bait-and-switch listings, fraudulent title claims, or "ghost" properties designed to harvest seeker data.
- Commercial Malpractice: Repeated verified complaints regarding unprofessional conduct, trust account mismanagement, or lack of owner mandates.
- Statutory Mandate: Compliance with a direct order from the EAC, a court of law, or the Financial Intelligence Unit.
- Platform Sabotage: Any attempt to reverse-engineer Propertyzone infrastructure, scrape protected data, or bypass lead-routing systems.
9.3 The "Blackout" Effect of Termination
Termination results in an immediate marketplace blackout. To protect the public interest, the following protocols are triggered automatically:
- Listing Removal: All active property listings associated with the Account are immediately hidden from public search results and partner syndication networks.
- Credential Revocation: Your right to utilize Propertyzone branding, "Verified Agency" markers, and professional lead management tools ceases instantly.
- Financial Acceleration: All pending subscription balances and ancillary service fees become immediately due and payable in full.
- Data Preservation: While public access is revoked, internal metadata and transaction logs are preserved for the statutory 7-year audit period to facilitate regulatory discovery or litigation defense.
Provisions governing Indemnification, Limitation of Liability, and Dispute Resolution survive termination and remain in full force to protect the Platform against historical malpractice.

10.2 Mandatory Mediation Period
Before escalating any dispute to formal legal channels, the parties must attempt a good-faith administrative resolution. A formal "Notice of Dispute" must be dispatched to disputes@propertyzone.co.zw. Sparkline Labs and the User will engage in an intensive 30-day negotiation period to resolve the matter and mitigate unnecessary litigation costs.
10.3 Binding Arbitration Mandate
In the event that informal mediation fails, all disputes shall be settled via final and binding arbitration under the Arbitration Act [Chapter 7:15]of Zimbabwe. The following procedural rules apply:
- Venue: The arbitration shall be conducted in Harare.
- Arbitrator: A single arbitrator shall be appointed by mutual agreement or, failing agreement, by the Commercial Arbitration Centre of Zimbabwe (CACZ).
- Finality: The arbitrator's award is final and legally binding. No party shall seek a court appeal except on the limited procedural grounds specified in the Arbitration Act.
- Cost Allocation: Each party shall bear its own legal and representation costs. The costs of the arbitrator and administrative fees shall be split equally unless the arbitrator dictates otherwise based on the merit of the case.
10.4 Exceptions for Urgent Relief
Either party may bypass the arbitration mandate to seek immediate injunctive or equitable relief in a court of competent jurisdiction for matters concerning: (1) Serious intellectual property infringement, (2) Critical breaches of the Data Protection Act, or (3) Urgent preservation of assets subject to fraudulent disposal.
10.5 Individualized Claim Waiver
By utilizing Propertyzone, you waive any right to participate in class action lawsuits, collective arbitrations, or representative legal proceedings. All disputes must be resolved on an individual-to-entity basis. No multi-party claims or consolidations will be recognized.

For any legal proceedings not subject to arbitration, or for the enforcement of an arbitration award, you irrevocably consent to the exclusive jurisdiction of the High Court of Zimbabwe, Harare.

- Identity Fraud: Impersonating an EAC-registered practitioner, municipal official, or legal owner.
- Discriminatory Practices: Utilizing language that expresses preference or limitation based on race, ethnicity, religion, or gender, in violation of the Constitution of Zimbabwe.
- Disintermediation Attempts: Soliciting Users to move transactions off-platform specifically to circumvent professional oversight or fee structures.
- Technical Abuse: Deploying automated scripts, scrapers, or bots to harvest professional data or disrupt Platform search rankings.
11.2 Professional Mandates for Practitioners
EAC-registered Practitioners are held to a higher standard of operational rigor. You must:
- Exercise Fiduciary Duty: Act with total transparency regarding property titles, encumbrances, and utility sovereignty (borehole yields and solar backup reliability).
- Operational Responsiveness: Respond to verified inquiries within 24–48 hours to ensure the liquidity of the marketplace.
- Mandate Verification: Never publish a listing without an active, written mandate from the legal property owner or their authorized legal representative.
- Trust Account Integrity: Ensure all financial solicitations comply with statutory Trust Account regulations. No deposits should be requested outside of audited professional accounts.
- Regulatory Compliance: Adhere strictly to the Estate Agents Council (EAC) Code of Conduct at all times.
11.3 Authentic Reviews and Market Reputation
Propertyzone utilizes a reputation-based system. All reviews and ratings submitted to the Platform must:
- Be rooted in a documented, genuine professional interaction or transaction.
- Remain strictly factual and free from defamatory or inflammatory rhetoric.
- Be independent; reviews posted in exchange for financial incentives or reciprocal favors will be deleted.
Sparkline Labs reserves the unilateral right to archive or purge reviews that appear to be part of a coordinated reputational attack or artificial manipulation.
11.4 Enforcement and Reporting
Violations of these standards should be reported to compliance@sparklinelabs.co.zw. Sparkline Labs conducts objective investigations into all reports of malpractice. Appropriate actions range from formal warnings and content removal to immediate Platform decertification and reporting to the Estate Agents Council (EAC).

Usage of the Platform constitutes an acknowledgment of the following data protocols:
- Public Disclosure: Professional credentials, EAC registration status, and property listing data are designated as public-facing assets to facilitate marketplace transparency and due diligence.
- Intermediary Sharing: Data is shared with verified technical partners (hosting, map services, and payment processors) strictly to maintain operational infrastructure.
- Security Thresholds: While Sparkline Labs implements industry-standard encryption, you acknowledge that no digital transmission over Zimbabwean telecommunications networks can be guaranteed as 100% secure. You assume the inherent risk of data transit.
- Subject Rights: In accordance with the Act, you maintain the right to access, rectify, or request the deletion of your personal data, provided such requests do not conflict with statutory record-keeping mandates.

13. Statutory Alignment and Unilateral Amendments
Sparkline Labs reserves the absolute right to amend these Terms to ensure continuous alignment with Zimbabwean statutory shifts, economic volatility, or technical infrastructure upgrades. In the event of an amendment, Propertyzone will:
- Update the "Last Updated" timestamp at the apex of this document as a formal record.
- Dispatch a regulatory notice to the primary email address associated with your professional Account.
- Deploy a high-visibility notification within the Agency Dashboard for a period of no less than 14 days.
- Provide a minimum of 30 days' notice for material changes that fundamentally alter the fee structure or legal risk allocation.
Your continued utilization of the Platform following the effective date of any modification constitutes an irrevocable acceptance of the revised Terms.
Professional Responsibility: It is the exclusive duty of the registered Practitioner to review these Terms periodically. If you determine that any amendment is incompatible with your business operations or statutory obligations, you must immediately cease all Platform activity and initiate the account termination protocol.
14. Integrated General Provisions
14. Integrated General Provisions
14.1 Entirety of Agreement
These Terms, inclusive of the Privacy Policy and any technical mandates published on the Platform, constitute the entire legal understanding between the User and Sparkline Labs. This Agreement supersedes and extinguishes all prior verbal representations, marketing materials, or informal agreements. No external statement shall be binding unless formally integrated into this document.
14.2 Jurisdictional Severability
The invalidity or unenforceability of any individual provision under the laws of Zimbabwe shall not compromise the structural integrity of the remainder of this Agreement. Any failed clause will be modified to the minimum extent necessary to render it valid and enforceable while preserving the original commercial intent.
14.3 Non-Waiver of Statutory Rights
Any delay or failure by Sparkline Labs to enforce a right or provision of these Terms does not constitute a waiver of that right. A waiver is only legally effective if executed in writing and signed by an authorized representative of Sparkline Labs.
14.4 Assignment and Transfer Constraints
The rights granted to a User or Agency are specific and non-transferable. You may not assign your Account or professional standing to a third party without prior written consent from Sparkline Labs. Conversely, Sparkline Labs may assign its rights and obligations under these Terms without restriction in the event of a merger, acquisition, or technical restructuring.
14.5 No Professional Partnership or Agency
Nothing in these Terms establishes a partnership, joint venture, employment, or fiduciary relationship. Users and EAC-registered Practitioners operate as independent contractors. You possess no authority, express or implied, to bind Sparkline Labs to any external legal or financial obligation.
14.6 Infrastructural Force Majeure
Sparkline Labs is not liable for failures or delays in Platform performance caused by events beyond our reasonable control. In addition to natural disasters and civil unrest, this specifically includes regional telecommunications blackouts, national power grid failures (ZESA), and sudden shifts in Zimbabwean monetary or regulatory policy.
14.7 Official Legal Notices
Formal legal notices to Sparkline Labs must be dispatched to legal@propertyzone.co.zw or delivered to our registered physical address in Harare. Notices to Users will be transmitted via the email address associated with the primary Account holder. A digital notice is deemed received 24 hours after transmission.
14.8 Linguistic Primacy
These Terms are authored and executed in English. While translations may be provided for convenience, the English version shall remain the sole authoritative text for all legal interpretation and dispute resolution proceedings.

By accessing or using Propertyzone, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions. If you do not agree, you must not use the platform.
